B2B General Terms & Conditions (AGB)

These General Terms and Conditions of Sale and Delivery apply exclusively to all present and future commercial business contracts between Darezini Naturdärme GmbH ('Seller') and our customers ('Buyer'). Our deliveries, commercial services, and offers are directed exclusively to entrepreneurs (Unternehmer) within the meaning of Section 14 of the German Civil Code (BGB) or legal entities under public law. Consumer contracts within the meaning of Section 13 BGB are not concluded through our digital wholesale portal.

Natural casings (sheep casings, hog casings, beef casings) are biological products derived from animal origin. Trade-customary sorting tolerances of up to ±0.5 mm in calibrated diameters are production-inherent and do not constitute a defect. Standard hank lengths measure approximately 91.4 meters (100 yards) and consist of individual casing strands in accordance with agreed industrial quality classifications (Grade A, Grade A+).

Natural casings are preserved exclusively with unrefined food-grade sea salt or in saturated brine without artificial chemical additives. The product must be stored and transported under unbroken cold-chain conditions (+1°C to +7°C). Risk of loss and deterioration transfers to the Buyer upon handover to the forwarder, carrier, or transport agent (§ 447 BGB) or in accordance with the agreed INCOTERMS (EXW, DAP, CIF) specified in the individual order confirmation.

The Buyer is subject to the statutory commercial obligation of immediate inspection and notification of defects pursuant to Section 377 of the German Commercial Code (HGB). The Buyer must immediately examine delivered casks or vacuum packs upon arrival for cold-chain integrity, seal tightness, organoleptic freshness, and caliber uniformity. Any apparent defects must be notified in writing within 48 hours of receipt, accompanied by temperature records and batch numbers.

All delivered lots originate from accredited slaughter facilities and EU-monitored processing facilities (EU Registration DE NW20176 EG). All production lines comply with verified Halal Quality Control (HQC) guidelines.

All prices are quoted in Euros net of statutory Value Added Tax. Delivered goods remain the exclusive property of the Seller until full settlement of all claims arising from the commercial business relationship (extended retention of title pursuant to German law).

All legal relations between the parties are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship is Düsseldorf, Germany.
